1. Acceptance of Terms
By accessing or using the Mada Overseas website (www.madaoverseas.com), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use this website.
2. Nature of This Website
This website is operated by Mada Overseas, a trading company registered in the Republic of Madagascar. The website is intended to provide general information about our products and services to prospective business partners, importers, exporters, and commodity buyers globally.
All content — including product specifications, grade descriptions, origin details, and pricing indications — is published in good faith for informational purposes only. It does not constitute a contractual offer. No binding agreement is formed through the use of this website or the submission of an enquiry or contact form.
3. Quotations & Pricing
Any price indications or specifications displayed on this website are indicative only and subject to change without notice. Commodity prices fluctuate with international market conditions, harvest yields, currency exchange rates, and shipping costs. A firm quotation will be provided only upon direct negotiation and formal written communication.
All prices, when quoted, are in United States Dollars (USD) unless otherwise stated in the relevant commercial agreement.
4. Orders & Contracts
A binding purchase contract is formed only upon:
- Execution of a signed Sales Contract or Proforma Invoice by both parties; and
- Receipt of the agreed payment instrument (advance TT, Letter of Credit, or other agreed method).
Mada Overseas reserves the right to decline any order at its sole discretion prior to formal contract execution, including on grounds of regulatory compliance, sanctions screening, or commercial feasibility.
5. Payment Terms
Standard payment terms vary by product and buyer relationship. Common instruments include:
- Telegraphic Transfer (TT): 30–50% advance, balance against shipping documents.
- Irrevocable Letter of Credit (LC at Sight): Payable at sight against conforming documents.
- LC 60 / LC 90: Available to established buyers subject to credit approval.
All bank charges outside Madagascar are for the buyer's account unless otherwise agreed. Mada Overseas does not accept cryptocurrency or informal payment methods for commercial transactions.
6. Quality & Specifications
Product specifications published on this website represent standard grades traded by Mada Overseas. Actual specifications for any shipment are determined by the Sales Contract and verified by a mutually agreed independent inspection body (such as SGS, Bureau Veritas, or Intertek) at port of origin.
In the event of a quality dispute, the inspection certificate issued at origin by the agreed surveyor shall be binding on both parties, unless fraud is demonstrated. No claim shall be accepted after goods have been partially or fully processed by the buyer.
7. Force Majeure
Mada Overseas shall not be liable for failure or delay in performance of its obligations to the extent such failure or delay results from events beyond its reasonable control, including but not limited to: acts of God, war, civil unrest, government action, export/import bans, port strikes, severe weather, epidemics, or supply chain disruptions at origin.
In the event of a force majeure occurrence, Mada Overseas will notify the buyer promptly. If the delay exceeds 60 days, either party may terminate the affected contract without penalty by written notice.
8. Intellectual Property
All content on this website — including text, graphics, logos, product photography, and layout — is the intellectual property of Mada Overseas or its licensors and is protected under applicable copyright law. You may not reproduce, republish, or commercially exploit any content without prior written consent.
9. Limitation of Liability
To the maximum extent permitted by law, Mada Overseas shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of this website or reliance on its content. Our total liability in connection with any claim arising from these terms shall not exceed the value of the specific transaction in dispute.
We make no warranty that this website will be uninterrupted, error-free, or free from viruses or other harmful components.
10. Governing Law
These terms are governed by and construed in accordance with the laws of the Republic of Madagascar. Any dispute arising from or in connection with these terms shall first be referred to good-faith negotiation. Failing resolution within 30 days, disputes shall be submitted to the competent courts of Antananarivo, Madagascar, unless the parties agree in writing to resolve the matter by arbitration under the ICC Rules.
11. Changes to These Terms
Mada Overseas reserves the right to update these Terms & Conditions at any time. Material changes will be reflected by an updated "Last updated" date at the top of this page. Continued use of the website after any update constitutes acceptance of the revised terms.
